These Terms of Use (“Terms”) govern your access to and use of the Caleo platform, website at caleopro.com, and any related services provided by CaleoPro LLC (“Caleo,” “we,” “us,” or “our”) (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of a public safety agency or organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use our Services.
The Services are intended for use by public safety agencies and their authorized personnel. By using the Services, you represent that you are at least 18 years of age and are authorized by your agency to access the platform.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Caleo immediately of any unauthorized access or suspected security breach at hello@caleopro.com.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:
Many features of the Caleo platform are provided under a separate agreement between Caleo and your agency (“Agency Agreement”). In the event of any conflict between these Terms and an applicable Agency Agreement, the Agency Agreement will govern with respect to the subject matter of that agreement.
If you are an individual officer or personnel accessing the platform through your agency’s subscription, your use is also subject to your agency’s internal policies and any configuration established by your agency’s administrators.
The Caleo platform, website, software, content, trademarks, logos, and all related intellectual property are owned by CaleoPro LLC or its licensors. These Terms do not grant you any right, title, or interest in Caleo’s intellectual property beyond the limited right to use the Services as described herein.
You and your agency retain ownership of the data you input into the Caleo platform (“Agency Data”). By using the Services, you grant Caleo a limited license to process and use Agency Data solely as necessary to provide the Services and as described in our Privacy Policy.
If you provide Caleo with suggestions, feedback, or ideas regarding the Services, you grant Caleo a non-exclusive, royalty-free, perpetual license to use that feedback without restriction or compensation.
You acknowledge that you may have access to non-public information about the Caleo platform, including features, pricing, and operational details. You agree to keep such information confidential and not to disclose it to third parties without Caleo’s prior written consent, except as required by law.
Your use of the Services is also governed by Caleo’s Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.
The Services may integrate with or link to third-party services, tools, or websites. Caleo does not control and is not responsible for the content, privacy practices, or availability of third-party services. Your use of any third-party service is at your own risk and subject to that third party’s terms.
Caleo strives to maintain consistent platform availability but does not guarantee uninterrupted access to the Services. We may modify, suspend, or discontinue any feature or aspect of the Services at any time with or without notice, though we will make reasonable efforts to notify agency administrators of material changes that affect operational use.
We reserve the right to update these Terms at any time. We will notify users of material changes by updating the “Last updated” date and, where appropriate, by direct communication. Your continued use of the Services after any update constitutes acceptance of the revised Terms.
Caleo may suspend or terminate your access to the Services at any time if you violate these Terms, upon the termination of your agency’s agreement with Caleo, or as required by law. You may discontinue use of the Services at any time. Termination does not limit any remedies available to Caleo.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CALEO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CALEO DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CALEO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF CALEO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL CALEO’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOUR AGENCY TO CALEO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Caleo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party right.
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.
Entire Agreement: These Terms, together with any applicable Agency Agreement and the Privacy Policy, constitute the entire agreement between you and Caleo regarding the Services.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Caleo’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer any rights under these Terms without Caleo’s prior written consent. Caleo may assign its rights and obligations without restriction.
